The following was received from NAWCC President Doug Cowan, and is posted for
your information.

To All NAWCC Members,

At the Museum Trustees meeting on May 4, 2002, a report was made by the
joint NAWCC/NWCM Task Force which was appointed at the January 2002 NAWCC
Council meeting. The Task Force includes 2nd VP John Hubby and Treasurer
David Wood for the NAWCC, and Trustees Laura Barmore and Fred Tischler
for the NWCM. The following recommendations were made:

1) The NAWCC and NCWM should be reconstituted as a single legal entity
with a single set of financial accounts.

2) The merged entity should have a single Board of Directors.

3) Advisory Committees should be assigned to (tentatively): Museum;
Library; School of Horology; Publications; and Membership Services.

4) Constitution and Bylaws should be completely rewritten with
professional parliamentary and legal advice to ensure compliance with
legal requirements and to serve the long term needs of the organization
and its membership.

After deliberation, the Trustees responded as follows:

The Trustees commit to working co-operatively with the NAWCC Council,
having recognized the difficulties inherent in the current organization
of the two corporations (NAWCC and NCWM).

The Trustees will address the above recommendations with the firm intent
to ensure the viability of the total NAWCC entity. The Trustees do have
a fiduciary responsability to protect the Museum and Library assets and
need further discussion of the ways to shield these assets from future
unforeseen events.

The Trustees generally support Council's progress on the SGAG governance
recommendations, made in January 2002, as well as its development of a
well defined business plan for the Association.

The NAWCC/NWCM Task Force chaired by 2nd VP John Hubby was asked to
explore fiduciary trust options for protection of the collections, and
report further by the July Council meeting. Council will progress the
SGAG and Business plans on similar timing.

All actions will be taken within the present Constitution and Bylaws of
the NAWCC and NWCM corporations.
